12 gru 2021 · On January 8, 2021, Governor Mike DeWine signed into law a new scheme of regulations governing limited liability companies (“LLCs”) in Ohio. The new scheme does not simply amend prior Section 1705, but it will completely replace it with ORC Section 1706 (the “Revised LLC Act”).
29 mar 2022 · The Ohio Revised Limited Liability Company Act (the “New Act”) took effect on Feb. 11, 2022. The New Act replaced Chapter 1705 of the Ohio Revised Code with Chapter 1706, thereby redrafting all Ohio statutory LLC law.
The current LLC act has only one section on foreign LLCs. Under the New Act, however, six new sections more thoroughly address the issue. So, while Ohio continues to welcome foreign entities to do business, the New Act places greater importance on the registration of those foreign entities. In conclusion,Ohio LLCs have been

The Revised LLC Act, Chapter 1706, is organized differently from the current LLC Act, Chapter 1705, and has a more permissive and flexible approach to LLC organization.
